1. Introduction

These Host Settlement Terms & Conditions ("Settlement Terms") govern the payment settlement process between Eight Club Hotspot Technology Private Limited ("8club", "we", "us") and you, as a registered Host on the 8club platform ("Host", "you"). By onboarding as a Host and listing Hotspots on 8club, you agree to be bound by these Settlement Terms.

1. Definitions

"Gross Revenue" means the total amount collected from guests for a Hotspot, inclusive of all applicable taxes.


"Platform Fee" means the commission charged by 8club on Gross Revenue, as specified in the Host Agreement or Onboarding Form.


"Net Settlement Amount" means Gross Revenue less Platform Fee, applicable GST on Platform Fee, TDS (if applicable), refunds processed, and any chargebacks deducted.


"Settlement Date" means the date on which 8club initiates the payout to the Host's registered bank account.


"Business Day" means any day excluding Sundays, public holidays, and bank holidays in Bengaluru, Karnataka.


"Hotspot" means a curated event or experience listed by the Host on the 8club platform.


2. Eligibility & KYC Requirements

To receive settlement payouts, the Host must have completed all of the following before the Hotspot date:

  • Submitted a valid Bank Account number and IFSC code via the Host onboarding portal.

  • Provided a valid PAN (Permanent Account Number) for TDS compliance.

  • Accepted these Settlement Terms (via checkbox during onboarding or separately signed agreement).

  • Ensured the registered bank account is active and capable of receiving NEFT/IMPS transfers.


8club reserves the right to withhold settlement if KYC documentation is incomplete or if submitted details cannot be verified. 8club will notify the Host via email or WhatsApp in case of a hold and provide a 5-business-day window to resolve.


3. Settlement Timeline

Subject to the conditions in these Settlement Terms, 8club will initiate settlement as follows:

"T", here, refers to the date of the Hotspot. Settlement timelines are subject to banking partner availability and may be extended in case of bank holidays or technical system disruptions. 8club will communicate delays proactively.


4. Deduction Logic & Settlement Computation

The Net Settlement Amount payable to the Host will be computed as follows:


Net Settlement = Gross Revenue − Platform Fee − GST on Platform Fee − TDS (if applicable) − Refunds − Chargebacks

Detailed breakdown:

  • Platform Fee: Percentage of Gross Revenue as agreed in your Host Agreement.

  • GST on Platform Fee: 18% GST applied on the Platform Fee amount (not on Gross Revenue).

  • TDS (Section 194H): Applicable if aggregate payments to the Host exceed ₹15,000 in a financial year. 8club will deduct TDS at the prescribed rate and issue Form 16A.

  • Refunds: Any guest refunds processed before settlement will be deducted from Gross Revenue. Post-settlement refunds will be adjusted in the next settlement cycle.

  • Chargebacks: Any payment reversals initiated by guests through their bank or card issuer will be recovered from the Host's next available settlement.


5. Settlement Statement

8club will provide a Settlement Statement for each Hotspot event via email within 24 hours simultaneously with, or prior to, initiating the payout.

The Settlement Statement will include:

  • Event name, date, and venue

  • Total tickets sold and Gross Revenue

  • Itemised deductions (Platform Fee, GST, TDS, Refunds, Chargebacks)

  • Net Settlement Amount and UTR number.


Hosts must review the Settlement Statement and raise any disputes within 48 hours of receipt. After this window, the settlement will be considered final and accepted.


6. Refund & Dispute Policy Impact on Settlement


6.1 Pre-Settlement Refunds

If a guest refund is processed before the Settlement Date, the refunded amount will be deducted from the Gross Revenue prior to computing the Net Settlement Amount.

6.2 Post-Settlement Refunds

If a guest refund is initiated after the Settlement Date (e.g., due to an event quality dispute escalated to 8club), 8club reserves the right to recover the refunded amount from the Host's subsequent settlement cycle. 8club will notify the Host before recovering.

6.3 Settlement Holds

8club may place a temporary hold on a
settlement if:

  • A material guest dispute is raised within 24 hours of the event.

  • 8club receives a chargeback notification from its payment gateway.

  • Regulatory or compliance requirements necessitate a hold.

A hold will not exceed 10 business days unless required by law or ongoing legal proceedings.


7. Host Cancellation &
No-Show

  • If a Host cancels a Hotspot after ticket sales have commenced, 100% of collected amounts will be refunded to guests. The Host will not receive any settlement.

  • If a Host fails to show up or the event does not materially match its description, 8club reserves the right to refund guests and recover costs from future settlements.

  • Repeated cancellations may result in suspension of Host privileges without liability on 8club's part.


8. Failed Payouts

In the event that a payout fails due to incorrect bank details or account closure:

  • 8club will notify the Host via email and WhatsApp within 1 business day of the failure.

  • The Host must provide updated bank details within 5 business days.

  • 8club will re-initiate the payout within 2 business days of receiving valid updated details.

  • Unclaimed settlements (no valid bank details provided for 30 days post-notification) will be held in a suspense account and may be subject to applicable unclaimed funds regulations.


9. Tax Obligations


The Host is solely responsible for:

  • Declaring revenue received from 8club as applicable business income under Indian tax laws.

  • Collecting and remitting GST (if registered as a GST entity) on services rendered.

  • Maintaining records of Form 16A issued by 8club for TDS credit.

8club's TDS deduction obligation is limited to amounts prescribed under Section 194H of the Income Tax Act. 8club is not responsible for the Host's broader tax compliance.


10. Modifications to Settlement Terms


8club reserves the right to modify these Settlement Terms at any time. Hosts will be notified of material changes via email at least 7 days before they take effect. Continued participation as a Host after the effective date of changes constitutes acceptance of the revised terms.


11. Governing Law & Dispute Resolution


These Settlement Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Settlement Terms shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

In the event of a dispute between 8club and a Host regarding settlement amounts, both parties agree to first attempt resolution through good-faith discussion within 10 business days before initiating legal proceedings.


12. Limitation of Liability


8club's liability to any Host in respect of any settlement shall be limited to the Net Settlement Amount owed for the relevant Hotspot event. 8club shall not be liable for indirect, incidental, or consequential damages arising from settlement delays caused by banking partners, payment gateways, force majeure events (events include natural disasters, epidemics, government actions, war, or any event beyond 8club’s reasonable control), or regulatory actions.


ACCEPTANCE

By listing a Hotspot event on the 8club platform and completing the Host onboarding process, you confirm that you have read, understood, and agree to be bound by these Host Settlement Terms & Conditions.
